1.Introduction
These Terms of Service ("Terms") govern your access to and use of CoreLedger Billing (the "Service"), provided by Coreledger Technologies Services (OPC) Private Limited ("we", "us", "our"), a company incorporated in India with its registered office at [REGISTERED OFFICE ADDRESS — TO BE FILLED IN].
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2.Description of Service
CoreLedger Billing is a GST-compliant billing and invoicing platform for Indian businesses, offering invoicing, e-invoicing, e-way bill generation, GST return filing support, inventory and manufacturing management, financial reporting, and related features, available via web browser and as a downloadable desktop application.
3.Account Registration & Eligibility
You must provide accurate information when registering, and are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be authorized to act on behalf of the business you register.
Accounts with multiple users (Owner/Staff roles) are the responsibility of the account Owner, who controls what access Staff members are granted.
4.Subscription Plans, Pricing & Free Trial
The Service is offered under a free 7-day trial and paid annual plans (Basic, Prima, Gold), each with different feature sets and limits as described on our pricing page at the time of purchase. We reserve the right to change plan pricing and features for future billing periods, with reasonable notice.
At the end of the free trial, continued use of paid features requires selecting and paying for a plan.
5.Payments & Refunds
Plan upgrades are currently processed manually — you request an upgrade via the contact details provided in the app, and payment is arranged directly with us.
All plan payments are non-refundable, except where required by applicable law. If you believe you were charged in error, contact us at the address in Section 18 and we will review the matter.
6.Your Data & Content Ownership
You retain all ownership rights to the business data you enter into the Service — invoices, party/customer records, product data, and related business records ("Your Data"). We do not claim ownership of Your Data.
You are solely responsible for the accuracy, legality, and completeness of Your Data and of all documents — including invoices, e-invoices, e-way bills, quotations, and reports — generated through the Service ("Generated Documents"). We do not review, verify, or endorse the content of any Generated Document before or after it is created, transmitted, or filed.
7.GSTIN & Business Credentials
You are solely responsible for entering accurate GSTIN, PAN, and other business registration details into the Service. We do not independently verify the accuracy or lawful ownership of any GSTIN or business credential you provide, and we are not liable for any consequence arising from incorrect, unauthorized, or fraudulent use of such information by you or by any user on your account.
You warrant that you are lawfully authorized to use any GSTIN or business identity entered into the Service, and that doing so does not impersonate or misrepresent any other person or entity.
8.No Guarantee of Regulatory Compliance
Features related to GST invoicing, e-invoicing, e-way bills, and GST return filing support are provided as tools to help you prepare and organize compliance-related documents. They do not constitute legal, tax, or accounting advice, and we do not guarantee that any Generated Document is accurate, complete, or compliant with applicable GST law or any other regulation at the time of use.
You are responsible for independently verifying all Generated Documents — including tax rates, HSN/SAC codes, and filing data — before relying on them or submitting them to any government portal, bank, customer, or vendor. We recommend consulting a qualified Chartered Accountant or tax professional for compliance matters. We do not warrant uninterrupted or error-free integration with the GST Network, e-invoice/e-way bill portals, or any third-party government or banking system.
9.Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to generate fraudulent invoices, e-invoices, or e-way bills;
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service;
- Resell or sublicense the Service without our written consent;
- Use the Service in a way that disrupts its integrity or performance for other users.
10.Intellectual Property
The Service, including its software, design, and branding, is owned by Coreledger Technologies Services (OPC) Private Limited and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes — nothing more.
11.Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. The desktop application is designed to work offline for core functionality, syncing to the cloud when connectivity is available.
12.Limitation of Liability
To the maximum extent permitted by law, Coreledger Technologies Services (OPC) Private Limited shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities.
Without limiting the foregoing, we are not liable for: tax demands, penalties, interest, notices, or other consequences arising from Generated Documents or GST filings; losses arising from GSTIN or business credential misuse; or losses arising from interruptions or errors in integrations with government or third-party systems referenced in Section 8. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
13.Indemnification
You agree to indemnify and hold harmless Coreledger Technologies Services (OPC) Private Limited, its officers, and employees from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from: Your Data or any Generated Document; your use of the Service in violation of these Terms; or your violation of any law or third-party right, including in relation to GST compliance or GSTIN use.
14.Support Conduct
We aim to provide helpful, timely support via the channels listed in the Service. We ask that you communicate with our support team respectfully. We reserve the right to pause support access for abusive or threatening communication, without affecting your right to use the core Service.
15.Termination
You may stop using the Service and request account deletion at any time by contacting us. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to pay applicable fees, with notice where reasonably possible.
16.Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at [CITY — TO BE FILLED IN], India.
17.Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
